Forretningsbetingelser

Betingelserne gælder alle ydelser fra Flying October, med mindre der er indgået en skriftlig aftale mellem kunden og Flying October om andre betingelser. Det er kundens ansvar at læse betingelserne, og når kunden accepterer tilbud, aftale, leverance eller faktura accepteres betingelserne samtidig. Det betyder, at kunden i henhold til betingelserne skal betale for de ydelser og produkter, Flying October leverer.

 

Købsaftale og fortrydelse

En aftale er indgået, når Flying October modtager kundens accept – enten mundtligt, skriftligt eller på e-mail. Kun bemyndigede personer, virksomheder eller juridiske enheder kan indgå aftale med Flying October. Når kunden indgår en aftale, skal adresse, CVR-nr. og adresse på faktureringsmail oplyses. Hvis kunden ændrer adresse, skal Flying October samtidigt have besked.

 

Hvis kunden ønsker en opgave eller et projekt afsluttet, før det er færdigt, skal Flying October have skriftlig besked, og kunden faktureres for den del af arbejdet, der er gennemført hos Flying October.

 

Budget, tilbud og aftale

Alle priser er angivet uden moms. Budgettet er betinget af, at materialer modtages som aftalt, og at de kan bearbejdes som forudsat i tilbuddet.

 

Ophavsret og immaterielle rettigheder

Materiale udarbejdet af Flying October – herunder illustrationer, ideer, tekst og lignende – tilhører Flying October. Materialet er ophavsretligt beskyttet efter gældende dansk lovgivning, dvs. at både digital og analog kopiering af idé, tekst, billeder, lyd og grafik er forbudt, medmindre der er indgået specifik aftale herom med Flying October.

Kunden erhverver udelukkende brugsretten i klart defineret omfang og for en aftalt periode.

 

Brugsret

Kunden har brugsret til det færdige produkt, når det er fuldt betalt. Kunden må ikke videregive hele eller dele af det færdige produkt til tredjemand uden skriftlig aftale med Flying October.

Flying October forbeholder sig ret til at opkræve særskilt betaling, såfremt kunden ønsker at videregive brugsretten til tredjemand. Brugsretten til materiale, tekst, illustrationer og lignende omfatter kun brug i det leverede medie eller på de medier, aftalen omfatter.

 

Materiale, som er leveret af Flying October og beskyttet af ophavsret, må ikke modificeres eller bruges i anden sammenhæng eller medie, end det, som er tilsigtet i aftalen. Ønsker kunden rettigheder til det færdige produkt ud over brugsretten, kan det kun ske ved særskilt skriftlig aftale og betaling for at overføre rettighederne. Ønsker kunden adgang til og brugsret af kildefiler, skal det foregå ved særskilt aftale og betaling.

 

Materiale leveret af kunden

Med mindre andet er aftalt, er det kundens ansvar at levere korrekte og nødvendige oplysninger (tekstudgangspunkt/skriftlig briefing).

 

For materiale, som kunden leverer, er det udelukkende kundens ansvar, at materialet ikke krænker tredjemands rettigheder (herunder immaterielle rettigheder i form af ophavsrettigheder, varemærkerettigheder, mønster- og fotorettigheder samt andre rettigheder) ved brug og bearbejdning af det leverede materiale. Desuden skal kunden sikre, at materialet ikke er i strid med gældende lovgivning i det eller de områder, som materialet er rettet mod. Det gælder såvel for hver enkelt del af det leverede materiale som for det samlede produkt.

 

Godkendelse og levering

Det er kundens ansvar at læse korrektur, og dermed foretage en endelig godkendelse på de leverede produkter inden de offentliggøres, trykkes eller bruges på anden måde.

Flying October leverer på det tidspunkt, der er aftalt, dog med forbehold for forsinkelser eller forhindringer, der skyldes

– kundens handling eller undladelse
– 3. parts forsinkelser
– pludselig indtrufne omstændigheder hos Flying October

​

Ved disse forsinkelser har Flying October ret til at forlænge leveringstiden, men adviserer på forhånd kunden om forsinkelsen.

 

Når det færdige produkt er kunden i hænde, eller en ydelse er fuldført, anses produktet som leveret, og betaling skal ske i henhold til betalingsbetingelserne. Vælger kunden selv at benytte produktet til videre forarbejdning, distribution eller offentliggørelse, anses produktet straks som leveret og godkendt, selvom kunden ikke udtrykkeligt har godkendt produktet over for Flying October, og betaling skal ske efter gældende betalingsbetingelser.

 

Mangler/reklamationsret

Kunden er berettiget til nyt materiale eller prisafslag, hvis leverancen afviger fra den godkendte prøve. Flying October har dog intet ansvar for fejl, som kunden ikke skriftligt har rettet i korrektur; det gælder på print, digitalt, prøvetryk og lignende. Flying October hæfter ligeledes ikke for fejl eller mangler, der kan henføres til kundens egne tilvejebringelser til leverancen.

 

Kunden er ansvarlig for straks (inden for 3 arbejdsdage) at reklamere over en mangelfuld leverance. Undlades dette, eller reklamerer kunden for sent, mistes adgangen til at gøre manglen gældende.

 

Reklamation vedrørende fejl og mangler, afgivet inden produktet er godkendt eller inden kunden videreforarbejder eller distribuerer produktet, afhjælpes vederlagsfrit, såfremt fejlen eller manglen ligger inden for det oprindeligt aftalte produkts omfang.

Såfremt en fejl eller mangel med rimelighed kunne være opdaget af kunden, inden produktet blev godkendt, forbeholder Flying October sig ret til at opkræve ekstra betaling for at udbedre fejl og mangler opdaget efter, at produktet er leveret.

 

Betaling

Flying October sender faktura snarest efter, at den samlede opgave er afsluttet eller som delfakturering ved større projekter. Rettidig betaling er senest 8 dage efter fakturadatoen med mindre andet er aftalt. Betaling foregår kontant eller ved bankoverførsel til den bankkonto, som er oplyst på fakturaen. Hvis betalingen ikke foreligger rettidigt, løber der renter på fra forfaldsdagen med 3 % rente p.a. Fra forfaldsdagen kan Flying October kræve et rykkergebyr på kr. 250 ekskl. moms for hver rykkerskrivelse, dog højst tre skrivelser vedrørende samme ydelse. Betaling skal foreligge i dansk valuta. Sker betaling ikke rettidigt, stopper Flying October alle igangværende aktiviteter, og de genoptages først, når den fulde betaling foreligger.

 

Løbende ydelser

For løbende ydelser leveret af Flying October samt for ydelser, hvor der ikke er indgået separat skriftlig aftale, faktureres kunden på månedsbasis.

 

Afregning af tidsforbrug

For ydelser, Flying October udfører på timebasis, gælder det, at tiden faktureres pr. påbegyndte kvarte time pr. dag. For ydelser af større karakter faktureres kunden ifølge skriftligt tilbud eller særskilt aftale via e-mail eller lignende.

 

Ansvarsbegrænsning

Flying October er erstatningsansvarlig i henhold til dansk rets almindelige erstatningsregler for tab af handlinger eller undladelser forårsaget af Flying October med de nedenfor anførte begrænsninger, som skal gælde uanset om ansvarsgrundlaget er uagtsomhed eller hviler på andet grundlag:

​

1) Erstatningsansvaret begrænses til et beløb, som ikke kan overstige beløbet af den aftale, der har givet anledning til at kravet rejses. Flying October kan under ingen omstændigheder drages til ansvar for indirekte tab eller følgeskader, herunder tabt avance, produktionstab, tab som skyldes, at produkter eller ydelser leveret af Flying October ikke kan anvendes som forudset, tab som følge af at aftaler med tredjemand falder bort eller misligholdes eller tab, som skyldes, at data eller informationer forsvinder, forvanskes eller lignende, med mindre det godtgøres, at der foreligger forsæt eller grov uagtsomhed fra Flying October side.

2) Flying October kan ikke drages til ansvar for indholdet af det leverede produkt. Hvis Flying October har bidraget til formuleringer eller illustrationer, påhviler det kunden at godkende dette inden offentliggørelse.

​

3) Når kunden har godkendt produktet til offentliggørelse, har Flying October ikke ansvar for fejl, mangler samt uforudsete følger af brugen af produktet. Det er alene kunden, som har ansvaret for produktets videre brug.

​

4) Flying October har ikke ansvar for internettets funktionalitet. Såfremt et ansvarspådragende forhold kan henføres til mangelfulde ydelser fra tredjepart, kan kunden ikke opnå erstatning fra Flying October.

5) Flying October kan ikke holdes ansvarlig for lagring af kildefiler, hjemmesider og andre produkter, efter produktet er leveret.

 

Force majeure

Såfremt Flying October ikke er i stand til at levere den aftalte ydelse som følge af forhold, der ligger uden for Flying October kontrol, herunder brand, oversvømmelse, strejke, lockout, strømsvigt, sygdom, svigtende ydelser og leveringer fra tredjemand, (inkl. tele- og netværks-leverandører) eller lignende, skal Flying October være frigjort fra de aftalte leveringsforpligtelser, så længe sådan en situation består. Flying October kan ikke holdes ansvarlig for direkte eller indirekte tab, som kunden lider, som følge af ovennævnte og lignende situationer.

 

Underleverandører

Flying October er berettiget til helt eller delvist at lade arbejde udføre hos underleverandører.

 

Ændringer i vilkår og priser

Flying October offentliggør de gældende forretningsbetingelser på sin hjemmeside (www.flyingoctober.com). Ændringer af vilkår for aftaler, som allerede er indgået, foretages med et varsel på mindst 30 dage. Kunden skal have skriftlig besked eller besked på e-mail. Ændringer, der stiller kunden bedre, for eksempel generelle nedsættelser af priser, kan dog gennemføres uden forudgående varsel.

 

For allerede indgåede aftaler om engangsydelser, gælder de priser og betingelser, som var gældende, da aftalen blev indgået. Flying October regulerer priserne hvert år pr. 1. januar uden varsel.

 

Tvister

Uenighed om fortolkning af aftalens eller opfyldelse af vilkårene og håndhævelse kan alene indbringes for voldgift og bedømmes efter dansk lov.

 

Beskyttelse af personlige oplysninger/persondata

Databeskyttelse har høj prioritet hos Flying October, og vi har derfor udarbejdet en politik for, hvordan dine personlige oplysninger behandles og beskyttes. Flying October persondatapolitik og krav til datasikkerhed er udarbejdet i overensstemmelse med Datatilsynets anbefalinger.

Behandling af kundeoplysninger

Flying October opbevarer og behandler virksomhedsoplysninger, kontaktoplysninger, kundenummer, ordrehistorik og betalingsinformationer med det formål at sælge markedsføringsydelser til kunden, samt at kunne tilbyde den registrerede nyheder og tilbud fremover.

Kunder, der besøger Flying October’ hjemmeside, vil på hjemmesiden blive oplyst om vores cookiepolitik.

 

Opbevaring af data

Data opbevares sikkert i vores produktionsstyringssystem, så de ikke benyttes til andre formål end beskrevet.

 

Databehandling hos os

Som led i opgaveløsning kan Flying October modtage persondata fra kunden. Disse persondata behandles efter aftale med kunden og i overensstemmelse med sagens formål. Kunden indestår for, at oplysningspligten i henhold til persondataforordningen over for de registrerede personer i dette materiale – til løsning og efterfølgende opbevaring – er sket.

 

Når Flying October efter instruks fra kunden indsamler, bearbejder og opbevarer persondata, sker det efter GDPR og Datatilsynets anbefalinger og i overensstemmelse med Flying October egen datasikkerhedspolitik.

Hvis Flying October anvender underleverandører, vil disse alene behandle persondata modtaget fra Flying October i overensstemmelse med Flying October instruks og med henblik på opfyldelse af behandleraftale indgået med Flying October. Flying October kan indgå databehandleraftale med leverandører/samarbejdspartnere på vegne af kunderne.

 

Datarettigheder

Flying October oplyser hermed, at du som kunde altid har ret til indsigt i, hvilke oplysninger Flying October behandler, samt til at korrigere data eller at få slettet dine data. Du kan til enhver tid kontakte Flying October omkring dette.

Terms and conditions

​

The terms apply to all services from Flying October, unless a written agreement has been entered into between the customer and Flying October on other terms. It is the customer's responsibility to read the terms and conditions, and when the customer accepts an offer, agreement, delivery or invoice, the terms and conditions are accepted at the same time. This means that according to the conditions, the customer must pay for the services and products that Flying October provides.

Purchase agreement and cancellation

An agreement is entered into when Flying October receives the customer's acceptance - either orally, in writing or by e-mail. Only authorized persons, companies or legal entities may enter into an agreement with Flying October. When the customer enters into an agreement, the address, CVR no. and address on invoicing email is provided. If the customer changes address, Flying October must be notified at the same time.

If the customer wants a task or project completed before it is completed, Flying October must be notified in writing and the customer will be invoiced for the part of the work completed at Flying October.

Budget, offer and agreement

All prices are stated without VAT. The budget is conditional on materials being received as agreed and that they can be processed as stipulated in the offer.

Copyright and intellectual property rights

Material prepared by Flying October - including illustrations, ideas, text and the like - belongs to Flying October. The material is copyrighted according to current Danish legislation, ie. that both digital and analog copying of idea, text, images, sound and graphics is prohibited, unless a specific agreement has been entered into with Flying October.

The customer only acquires the right of use to a clearly defined extent and for an agreed period.

 

Right of use

The customer has the right to use the finished product when it is fully paid. The customer may not transfer all or part of the finished product to a third party without a written agreement with Flying October.

​

Flying October reserves the right to charge a separate fee if the customer wishes to transfer the right of use to a third party. The right of use of material, text, illustrations and the like only covers use in the supplied media or on the media covered by the agreement.

 

Material provided by Flying October and protected by copyright may not be modified or used in any context or medium other than that intended in the agreement. If the customer wants rights to the finished product in addition to the right of use, this can only be done by separate written agreement and payment to transfer the rights. If the customer wants access to and right of use of source files, this must be done by separate agreement and payment.

Material provided by the customer

Unless otherwise agreed, it is the customer's responsibility to provide correct and necessary information (text starting point / written briefing).

 

For material provided by the customer, the customer's sole responsibility is that the material does not infringe the rights of third parties (including intellectual property rights in the form of copyright, trademark rights, design and photo rights and other rights) in the use and processing of the delivered material. In addition, the customer must ensure that the material is not in conflict with applicable law in the area or areas to which the material is directed. This applies to each individual part of the delivered material as well as to the entire product.

 

Approval and delivery

It is the customer's responsibility to proofread, and thus make a final approval of the delivered products before they are published, printed or used in any other way.

 

Flying October delivers at the agreed time, subject to delays or obstacles due to

- customer's act or omission

- 3rd party delays

- sudden circumstances of Flying October

In the event of these delays, Flying October has the right to extend the delivery time, but notifies the customer in advance of the delay.

 

When the finished product is in the customer's hand, or a service has been completed, the product is considered delivered and payment must be made in accordance with the payment terms. If the customer chooses to use the product for further processing, distribution or publication, the product is immediately considered delivered and approved, even if the customer has not explicitly approved the product to Flying October, and payment must be made in accordance with applicable payment terms.

 

Defects / right of complaint

The customer is entitled to new material or a price reduction if the delivery deviates from the approved sample. Flying October, however, is not responsible for errors that the customer has not corrected in writing in proofreading; this applies to print, digital, proofs and the like. Flying October is also not liable for errors or defects that can be attributed to the customer's own provisions for the delivery.

 

The customer is responsible for immediately (within 3 working days) complaining about a defective delivery. Failure to do so, or the customer complaining too late, will lose the right to claim the defect.

 

Complaints regarding defects and defects, submitted before the product has been approved or before the customer further processes or distributes the product, will be remedied free of charge if the defect or defect is within the scope of the originally agreed product.

 

If a defect or defect could reasonably have been discovered by the customer before the product was approved, Flying October reserves the right to charge extra payment to rectify defects and deficiencies discovered after the product has been delivered.

 

Payment

Flying October sends an invoice as soon as possible after the entire task has been completed or as partial invoicing for larger projects. Timely payment is no later than 8 days after the invoice date unless otherwise agreed. Payment is made in cash or by bank transfer to the bank account stated on the invoice. If the payment is not received on time, interest will accrue from the due date with 3% interest p.a. From the due date, Flying October can demand a reminder fee of DKK 250 excl. VAT for each reminder letter, but not more than three letters regarding the same service. Payment must be in Danish currency. If payment is not made on time, Flying October stops all ongoing activities and they are not resumed until the full payment is available.

 

Continuous services

For continuous services provided by Flying October as well as for services where no separate written agreement has been entered into, the customer is invoiced on a monthly basis.

 

Settlement of time consumption

For services that Flying October performs on an hourly basis, the time is invoiced per. started quarter hour per. day. For services of a larger nature, the customer is invoiced according to a written offer or a separate agreement via e-mail or similar.

 

Limitation of liability

Flying October is liable for damages in accordance with the general rules of Danish law for loss of acts or omissions caused by Flying October with the restrictions listed below, which must apply regardless of whether the basis of liability is negligence or rests on other grounds:

 

1) The liability for damages is limited to an amount which may not exceed the amount of the agreement which has given rise to the claim being raised. Flying October can in no case be held liable for indirect losses or consequential damages, including lost profits, production losses, losses due to products or services provided by Flying October not being used as anticipated, losses due to the termination of agreements with third parties or breaches or losses due to the disappearance, distortion or similar data or information, unless it is proven that there is intent or gross negligence on the part of Flying October.

 

2) Flying October can not be held responsible for the content of the delivered product. If Flying October has contributed formulations or illustrations, it is the customer's responsibility to approve this before publication.

 

3) Once the customer has approved the product for publication, Flying October is not responsible for errors, defects and unforeseen consequences of the use of the product. Only the customer is responsible for the further use of the product.

 

4) Flying October is not responsible for the functionality of the Internet. If a liability relationship can be attributed to defective services from third parties, the customer can not obtain compensation from Flying October.

 

5) Flying October can not be held responsible for the storage of source files, websites and other products after the product has been delivered.

 

Force majeure

If Flying October is unable to provide the agreed service due to circumstances beyond Flying October's control, including fire, flood, strike, lockout, power failure, illness, failing services and third party deliveries, (including telecommunications) and network providers) or similar, Flying October must be released from the agreed delivery obligations as long as such a situation exists. Flying October can not be held responsible for direct or indirect losses suffered by the customer as a result of the above and similar situations.

 

Subcontractors

Flying October is entitled to have all or part of the work performed by subcontractors.

Changes in terms and prices

Flying October publishes the applicable terms and conditions on its website (www.flyingoctober.com). Changes to the terms of agreements that have already been entered into are made with a notice of at least 30 days. The customer must receive a written message or message by e-mail. However, changes that make the customer better off, such as general price reductions, can be implemented without prior notice.

 

For agreements already entered into on one-off benefits, the prices and conditions that were in force when the agreement was entered into apply. Flying October regulates prices every year per. January 1 without notice.

 

Disputes

Disagreement on the interpretation of the agreement or fulfillment of the terms and enforcement can only be brought for arbitration and assessed according to Danish law.

 

Privacy / personal data protection

Data protection is a high priority at Flying October, and we have therefore developed a policy for how your personal information is processed and protected. Flying October's personal data policy and requirements for data security have been prepared in accordance with the Danish Data Protection Agency's recommendations.

Processing of customer data

Flying October stores and processes company information, contact information, customer number, order history and payment information for the purpose of selling marketing services to the customer, as well as being able to offer the registered news and offers in the future.

 

Customers who visit Flying October's website will be informed about our cookie policy on the website.

 

Data storage

Data is stored securely in our production management system so that it is not used for purposes other than those described.

 

Data processing with us

As part of the task solution, Flying October can receive personal data from the customer. This personal data is processed in agreement with the customer and in accordance with the purpose of the case. The customer guarantees that the duty to provide information in accordance with the Personal Data Ordinance to the registered persons in this material - for solution and subsequent storage - has taken place.

 

When Flying October, in accordance with instructions from the customer, collects, processes and stores personal data, it does so in accordance with the GDPR and the Danish Data Protection Agency's recommendations and in accordance with Flying October's own data security policy.

If Flying October uses subcontractors, they will only process personal data received from Flying October in accordance with the Flying October instructions and for the purpose of fulfilling the processing agreement entered into with Flying October. Flying October may enter into a data processor agreement with suppliers / partners on behalf of the customers.

 

Data rights

Flying October hereby informs that you as a customer always have the right to insight into what information Flying October processes, as well as to correct data or to have your data deleted. You can contact Flying October about this at any time.
